Agleam Labs

Terms & conditions

Last updated: 20 October 2026

These Terms & Conditions (“Terms”) govern access to and use of the Agleam Labs website and, unless a signed contract says otherwise, the general conditions under which Agleam Labs provides software engineering, AI, product, and related professional services to clients in Bangladesh and internationally.

1. About Agleam Labs

Agleam Labs is a software firm operating from Bangladesh and serving clients across Bangladesh and worldwide. Our services may include AI solutions and automation, web and software development, mobile applications, games, ERP and SaaS platforms, IoT, DevOps and cloud engineering, and specialised work such as real estate management / PropTech systems.

References to “Agleam Labs”, “we”, “us”, or “our” mean Agleam Labs. References to “you” mean the website visitor or the business entity engaging our services.

2. Acceptance of terms

By using this website, submitting an enquiry, or engaging Agleam Labs for services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website or request services.

Project work is typically governed by a proposal, statement of work (SOW), master services agreement, or similar signed document. Those documents prevail over these website Terms for the scope of that engagement.

3. Website use

You may use this website for lawful purposes only. You agree not to attempt to disrupt the site, probe or breach security, scrape content in bulk without permission, or use the site to transmit malware, spam, or unlawful material.

Website content is provided for general information about Agleam Labs and our capabilities. It is not a binding offer, professional advice, or a guarantee of specific project outcomes, timelines, or pricing unless confirmed in a signed agreement.

4. Enquiries and proposals

Cost estimators, timelines, or ranges shown on the website are indicative only. Final scope, fees, milestones, and delivery dates are confirmed in writing after discovery.

Submitting a contact form or request for proposal does not create a client relationship until Agleam Labs accepts the engagement in writing and, where applicable, you accept a proposal or SOW.

5. Services for Bangladesh and international clients

We deliver services to organisations in Bangladesh and to clients abroad. Delivery may be remote, on-site at our Bangladesh office, at a client site, or a hybrid model, as agreed in the SOW.

Clients are responsible for ensuring that engaging Agleam Labs complies with their local procurement, data, export-control, and industry regulations. Where a project requires processing of regulated data (for example, financial, health, or personal data of end users), the client must disclose those requirements before kickoff so appropriate controls can be planned.

6. Client responsibilities

You agree to:

  • Provide timely access to stakeholders, systems, content, and approvals needed for delivery.
  • Ensure you have rights to materials, brands, data, and software you supply to Agleam Labs.
  • Designate a knowledgeable product or project owner for decisions and acceptance.
  • Pay invoices according to the payment schedule in the applicable agreement.
  • Use deliverables in accordance with licence terms and applicable law.

7. Fees and payment

Fees, currency, taxes (including VAT or other applicable taxes in Bangladesh or your jurisdiction), and payment milestones will be set out in the proposal or SOW. Unless stated otherwise, invoices are due as specified therein, and late payment may pause work or incur agreed late charges.

Travel, third-party licences, cloud usage, app-store fees, or other pass-through costs may be billed separately when approved by the client.

8. Intellectual property

Pre-existing materials, tools, frameworks, libraries, and know-how of Agleam Labs remain Agleam Labs’ property. Upon full payment of applicable fees, and except as otherwise agreed in writing, the client receives the licence or ownership rights to project-specific deliverables described in the SOW.

Open-source components are governed by their respective licences. Third-party services (cloud, APIs, SDKs) remain subject to their providers’ terms. The client is responsible for ongoing licence compliance after handover unless Agleam Labs is retained for managed services.

9. Confidentiality

Each party agrees to protect the other’s confidential business information and not disclose it to third parties except to personnel or subcontractors who need it for the engagement and are bound by confidentiality obligations, or as required by law. This obligation survives the end of the engagement for a reasonable period, or as stated in a signed NDA or MSA.

10. Warranties and disclaimers

Agleam Labs will perform services in a professional and workmanlike manner consistent with generally accepted practices for software firms of similar size and scope. Except as expressly stated in a signed agreement, services and website content are provided “as is” without other warranties, including implied warranties of merchantability or fitness for a particular purpose.

Software outcomes depend on client inputs, third-party platforms, infrastructure, and changing requirements. Agleam Labs does not warrant uninterrupted or error-free operation of systems after handover unless covered by a separate support or SLA agreement.

11. Limitation of liability

To the maximum extent permitted by applicable law, Agleam Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from website use or services.

Except for liability that cannot be limited by law (such as fraud or wilful misconduct), Agleam Labs’ aggregate liability arising out of any engagement is limited to the fees paid by the client to Agleam Labs for that engagement in the three (3) months preceding the claim, unless a signed agreement specifies a different cap.

12. Indemnity

You agree to indemnify and hold Agleam Labs harmless from claims arising from your misuse of the website, your breach of these Terms, or materials and instructions you provide that infringe third-party rights or violate law, except to the extent caused by Agleam Labs’ wilful misconduct.

13. Subcontracting

Agleam Labs may use employees and carefully selected subcontractors or specialists to deliver services, remaining responsible for their work under the applicable client agreement.

14. Termination

Either party may terminate an engagement as provided in the signed agreement. Upon termination, you will pay for work performed and approved expenses through the effective date. Provisions on IP, confidentiality, liability, and payment survive termination.

15. Governing law and disputes

These website Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. Courts in Bangladesh shall have jurisdiction over disputes arising from website use, subject to any mandatory consumer or local protections that apply to you.

For client engagements, the governing law and dispute-resolution forum (including arbitration if agreed) will be as set out in the signed contract. International clients may negotiate governing law and venue appropriate to the engagement.

16. Changes

We may update these Terms periodically. The “Last updated” date will change when we do. Material changes to website Terms apply prospectively. Changes to active client engagements require written agreement unless the signed contract allows updates under a defined process.
